Board Meeting Minutes - September 15, 2022

Present:

  • Jane Holman (Executive Director, WayNet.org, Ex-Officio)

  • Richard Peterson (Porter Advertising, LLC)

Absent:

  • Karen Seal (Friends Fellowship Community)

Call to Order:

President Jenie Lahmann called the meeting to order at 12:01 p.m.

Jenie called for a moment of silence for Officer Burton.

Old Business

  • Reviewed Minutes from the meeting May 19, 2022.
  • Call for motion to approve by: Tim Love
  • Seconded by: Lynn Knight and approved by the Board.

New Business:

The Board acknowledged 25 years of Waynet.

Task force members: Dakota Collins, Jenie Lahmann, Richard Peterson, Bridget Hazelbaker and Lynn Knight.

All the executive board members have read and approved the recommendation.

Recommendation: Closing of Waynet.org, but parse out specific pages of Waynet.

Gillis, suggested remaining funds, distribution, as one distribution. Morrison Reeves Library will continue as agent in fact,with the library director as the responsible party.

Call for motion to approve Waynet Search Taskforce Recommendation by Tim Love, Proxy Seconded by: Gillis King and approved by the Board.

Call for motion to start the process to close Waynet.org web site by Gillis King. Seconded by: Richard Peterson and approved by the Board.

Call for motion for the Executive Board members to communicate with partners to take over parts of the waynet website and execute the closing of Waynet Inc by Gillis King; Second by: Bridget Hazelbaker and approved by the Board.

Jane reported that our outstanding invoices to date amounted to: $6,500 $11,452, ending balance if we do not give refunds.

The Executive Board will be speaking to the larger donors and offer a prorated refund, with the default being to leave the funds as donation towards projects in the phasing out of the organization to other organizations.

A letter to all members to be created detailing the dissolution of Waynet.

The Board was asked not to make public the decision on the dissolution of Waynet until the larger donors have been contacted.

Call for motion to supsend invoicing members by Gillis King from start date of August 31, 2022. Seconded by: Dakota Collins and approved by the Board.

Call for motion to suspend invoicing past due invoices by Gillis King; Seconded by Richard Peterson and approved by the Board.

Executive Board members continue in their respective roles:

  • Lynn Knight, Secretary
  • Call for motion by Gillis King; Seconded by: Bridget Hazelbaker and approved by the Board.

The Board acknowledged the 25 year anniversary of Waynet on August 27th, Jane will also have 25 years with WayNet with a start date of September 22.

Balance Sheet Review

Income: June, 3,115.00 and July 3,040 and August $695

Expenses: June 1,365.86, July $1,411.10 and August $1,361.86

Ending Balance as of $18,590.96

Call for motion to approve by: Gillis King; seconded by: Tim Love and approved by Board

Cash Flow:

Accepted as read

Director's Report: August | September

Jane will prepare a shut-down check list that will be shared with all board members.
