Waynet Annual Meeting
September 28, 2004

Present: WayNet Executive Board:

  • Randy Baker, President (Richmond Power & Light)
  • Thomas G. Kirk, Jr., Vice President/Treasurer (Earlham College)
  • Bill O’Hara Felker, Secretary (WHON/WQLK)
  • Jim Buckler, (Richmond WorkOne)
  • Dudley Fetzer (First Bank Richmond)
  • Chris Hardie, (Summersault)
  • Bill Pendley (Potter’s Wheel Bed & Breakfast)
  • Jane Holman (Executive Director, ex-officio, also representing Sharp Sites)

Also Present:

  • Jodi Johnson (Western Wayne Schools)
  • Otis Johnson
  • Gary Arndts (Marketing & Creative Services)
  • Bob Scheffer (Indiana Football Hall of Fame)

Call to Order:

President Randy Baker called the Annual Meeting to order at 7:06 PM at the Uptown Innovation Center. He welcomed everyone and introduced guests and members.

Business Meeting Agenda:

  • President’s Report – President Baker said the past year has been on of change… namely technical. The largest was a change of hosting. He said we persevered through the changes. Baker charged the board to “stay true to our vision” He said we must meet funding and technical changes to remain on the cutting edge.
  • Treasurer’s Report - Vice President Treasurer Thomas Kirk, Jr. said the budget remains on schedule with a balance of $15,539.87 at the end of August, 2004.
  • Transfer Resolution – As the Board of Directors has previously approved moving to a 501(c)3 IRS designation, members to the annual meeting were presented with a resolution authorizing transfer of assets when the change takes place at the end of the year. Member Bob Sheffer moved for approval. It was seconded by Thomas Kirk, Jr. and unanimously approved by a show of hands vote.
  • Executive Director’s Report - Executive Director Jane Holman said as she enters her eighth year as Executive Director, the past year was a “bundle of challenges.” She said over the years we have created a brand that is held to high standards. She challenged the board to set appropriate policies as changes take place during the upcoming year.

Slate of Nominees – Term 2004-2006

The slate of board nominees was presented for the term of 2004 to 2006. They were:

  • Dudley Fetzer, First Bank Richmond
  • Misty Hollis, Wayne County Visioning/Step Ahead
  • Amy Spears, City of Richmond
  • Gary Arndts, Marketing & Creative Services
  • Jodi Johnson, Western Wayne Schools
  • Eric Synnestvedt, Reid Hospital and Health Care Services

They were approved by unanimous vote after a motion they be approved by Thomas Kirk, Jr. and a second by Jim Buckler.

The slate of officers for the term of 2004 to 2005 was presented:

  • President – Randy Baker, Richmond Power and Light
  • Vice President/Treasurer – Misty Hollis, Wayne County Visioning/Step Ahead
  • Secretary – Jim Buckler, Richmond WorkOne

They were approved by unanimous vote after a motion they be approved by Bill Pendley and a second by Dudley Fetzer.

President Baker closed the meeting by thanking outgoing board members: Bill O’Hara Felker, Chris Hardie and Nancy Wilson for their many years of service.

There being no additional business, a motion to adjourn was made by Bill Pendley. It was seconded by Thomas Kirk, Jr. and the business meeting adjourned around 7:30 PM.

Program – “A New View of Communications”

Rich Cody, Telecommunications Manager for Parallax, a division of Richmond Power and Light presented the program. Created in 2002, he brought us up-to-date on the new innovations in telecommunications and how they will affect the Richmond/Wayne County community. He said Parallax is meeting the demands of its clients. Mr. Cody answered questions following the presentation.
